1. GENERAL: These terms and conditions shall be deemed to be an integral part of the agreement (“Agreement”) arising from the acceptance by Seller of any purchase order of Buyer for product (“Product”) or services (“Services”) described in the Seller’s quotation, acknowledgement and/or invoice and shall conclusively be deemed (i) to constitute the entire agreement between Seller and Buyer with respect to the subject matter hereof, and (ii) to supersede all prior or concurrent agreements, arrangements, understandings or other discussions, written or oral, between Buyer and Seller with respect thereto, notwithstanding (i) that Buyer does not accept or ratify in writing these terms and conditions, (ii) any prior course of dealing between Buyer and Seller to the contrary, and (iii) any terms and conditions of purchase set out in any purchase order or other communication from Buyer to Seller, and whether these terms and conditions were received by Buyer before or after any communication to Seller containing Buyer’s terms and conditions of purchase.

2. PRICES: Unless otherwise agreed in writing by Seller, prices for Product or Services shall be increased by any increase in material and labor costs from the date on which the price was quoted by Seller to Buyer to the date of shipment. All taxes, fees, levies, assessments or other charges imposed by any local, provincial or federal government or other relevant authority upon the production, sale, use, import, export, ownership, provision or shipment of Product or Services shall be for the account of Buyer.

3. TITLE: Title to Product or Services shall remain in Seller until paid for in full by Buyer. If Buyer fails to pay any mount due under the Agreement (whether by acceleration or otherwise) or otherwise fails to perform any obligation of Buyer hereunder, Buyer shall be deemed to be in default and Seller shall have all of the rights and remedies available to if under applicable law.

4. RISK OF LOSS, INDEMNITY, CLAIMS: Buyer shall bear all risks of loss of or damage to Product from the time Product is delivered in good order into the custody of a carrier for transportation. Buyer is urged to examine all deliveries carefully immediately upon delivery and before signing the receipt. If any Product is visibly damaged or if there are any shortages of Product delivered, Buyer must have written confirmation of the damage or shortages noted on the freight bill or other receipt by the agent of the carrier. Signing a receipt without notation of damage to, or shortages of, Product shall constitute conclusive evidence of receipt of Product in satisfactory condition and in the quantities specified in the freight bill or other receipt. Any claim of damage in transit or for shortages should be made promptly by Buyer against the carrier. If any Product is lost, disappears or is damaged or destroyed, in whole or in part, for any reason while in the possession of Buyer or any carrier, and before payment in full therefore, and Seller suffers any loss by virtue thereof, Buyer shall indemnify and save harmless Seller from such loss. If any such loss is covered by insurance to which Buyer is a beneficiary and/or by recourse by Buyer against any other party, then any such claim and any proceeds payable with respect thereto shall automatically vest in Seller.

5. DELIVERY: Seller may make partial deliveries and submit invoices there for. Buyer shall make an examination and test of any Product delivered or shall review and use any Services provided immediately upon receipt at Buyer’s plant and failure of Buyer to give written notice of any claim to Seller within ten days after the receipt of such Product or provision of such Service shall be deemed to constitute an unqualified acceptance thereof. Subject to Section 8, Seller will make reasonable commercial efforts to meet delivery dates quoted or acknowledged. However, Seller will not be liable for any failure to meet such dates.

6. OVERRUNS AND UNDERRUNS: Unless otherwise provided on Seller’s invoice, overruns or underruns of up to ten per cent of the total amount of Product purchased under the Agreement shall conclusively be deemed to constitute fulfillment of the Agreement.

7. WARRANTIES, LIMITATIONS AND EXCLUSIONS OF LIABILITY:

A. Seller warrants good and marketable title to Product and that Product or Services is or are as described on Seller’s Invoice and, unless otherwise Provided on Seller’s Invoice, Product and Services shall conform to the specifications of Seller.

B. If Product or Services is or are not as described on Seller’s Invoice or Product or Services does or do not conform to the applicable specifications, Seller, at its option, will either replace Product or provide replacement Services for the nonconforming Services or refund the purchase price of Product or Services if Buyer gives written notice describing the alleged nonconformity, errors or deficiencies with reasonable particularity within ten days after receipt of Product or Services. In addition, in the case of Product, Seller, at its option, may either inspect the allegedly nonconforming Product at Buyer’s premises or require Buyer, at Sellers expense, to properly pack and ship such allegedly nonconforming Product to Seller at the address specified on Seller’s Invoice or, at the option of Seller, to such other address as may be specified by Seller. Any course of dealing between the parties to the contrary notwithstanding, any claim by Buyer shall be deemed waived and absolutely barred unless presented in such manner to Seller within such ten day period. No such giving of notice by Buyer shall entitle Buyer to withhold payment due or to refuse to accept further deliveries.

C. THE WARRANTIES EXPRESSLY SET OUT IN SECTION 7A ARE IN LIEU OF, AND THERE IS HEREBY EXCLUDED, ANY AND ALL OTHER WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, ARISING BY STATUTE OR OTHERWISE IN LAW OR FROM A COURSE OF DEALING OR USAGE OF TRADE INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABLE QUALITY OR FITNESS FOR ANY PARTICULAR PURPOSE. NO OTHER WARRANTIES OR REPRESENTATIONS ARE MADE BY SELLER. IN THE CASE OF PRODUCT, IF A SAMPLE WAS SHOWN OR PROVIDED, THAT SAMPLE WAS USED MERELY TO ILLUSTRATE THE GENERAL TYPE AND QUALITY OF PRODUCT AND NOT TO REPRESENT THAT PRODUCT WOULD NECESSARILY CONFORM TO SAMPLE.

D. BUYER’S REMEDIES EXPRESSLY SET OUT IN SECTION 7B ARE BUYER’S SOLE AND EXCLUSIVE REMEDIES AND, EXCEPT AS AND TO THE EXTENT PROVIDED IN SECTION 7B, SELLER SHALL NOT BE LIABLE IN CONTRACT, TORT, DELICT OR OTHERWISE FOR ANY LOSS, DAMAGE OR EXPENSE OR FOR ANY INJURY TO PERSON OR PROPERTY OF BUYER OR OTHERS ARISING OUT OF THE POSSESSION OR THE USE OF OR THE INABILITY TO USE PRODUCT OR SERVICES OR IN ANY WAY WHATSOEVER RELATED TO PRODUCT OR SERVICES OR BY REASON OF ANY BREACH OF THE AGREEMENT (FUNDAMENTAL OR OTHERWISE) OR ANY FAILURE OR DELAY IN PERFORMANCE BY OR NEGLIGENCE OF SELLER, ITS EMPLOYEES, AGENTS OR OTHERWISE, EVEN IF SELLER OR ITS EMPLOYEES OR AGENTS WERE ADVISED OF THE POSSIBILITY OF SUCH LOSS, DAMAGE, EXPENSE OR INJURY AND, IN PARTICULAR (BUT WITHOUT PREJUDICE TO THE GENERALITY OF THE FOREGOING), SELLER SHALL NOT BE LIABLE FOR ANY SPECIAL, DIRECT, INDIRECT, CONSEQUENTIAL OR PUNITIVE DAMAGES OR FOR ANY LOSS OF USE, LOSS OF PROFITS, LOSS OF BUSINESS REVENUE, FAILURE TO REALIZE EXPECTED SAVINGS OR FOR ANY LIABILITY TO A THIRD PARTY INCURRED BY BUYER OR FOR ANY OTHER COMMERCIAL OR ECONOMIC LOSS OF ANY KIND WHATSOEVER.

E. SELLER SHALL NOT BE LIABLE FOR ANY INFRINGEMENT OR ALLEGED INFRINGEMENT OF ANY PATENT OR OTHER PROPRIETARY RIGHT WHETHER THROUGH THE USE OF SERVICES OR PRODUCT OR THE MATERIALS OR ARTICLES MADE THEREFROM BY BUYER OR OTHERS, EITHER ALONE OR IN CONJUNCTION WITH OTHER MATERIALS, OR OTHERWISE IN ANY WAY WHATEVER.

F. Buyer assumes all risk and liability for loss, damage or expense, and for injury to person or property of Buyer or others, arising out of the possession or the use of, or the inability to use, Product or Services or in any way whatsoever related to Product or Services (including, without limitation, for damages of the nature referred to in Section 7D), and Buyer agrees to indemnify and save harmless Seller therefrom.

8. FORCE MAJEURE: Without limiting any other provision herein, Seller will not be liable for any delay (i) in shipment or failure to ship Product or for any damage suffered by reason thereof or (ii) in the provision of, or failure to provide, Services or for any damage suffered by reason thereof, whether such delay or failure, directly or indirectly, is due to accident (in manufacture or otherwise), fire, flood or other acts of God, labor stoppages or difficulties, inadequate transportation facilities, shortage of materials or supplies, delay or default on the part of its suppliers, government action or any other casualty or cause beyond the reasonable control of Seller, which Seller in its discretion declares to be force majeure resulting in such delay or failure. In such event, Seller, at its option, may cancel the Agreement or delay performance thereunder for any period reasonably necessary due to the foregoing, during which time the Agreement shall remain in full force and effect. Seller shall have the further right to then allocate its available resources, materials and products among its customers and for its use in such manner as Seller may consider fair and equitable.

9. TERMINATION OPTION: Seller shall have the option to terminate the Agreement forthwith upon written notice if Buyer’s account with Seller is in arrears or if Buyer, except in circumstances contemplated in Section 5, does not accept delivery of any Product shipped or Services provided.

10. INTEREST, ACCELERATION OF INDEBTEDNESS AND SETOFF: Interest on all amounts due under the Agreement (whether by acceleration or otherwise) shall accrue from the due date at the lesser of 18% per annum (1 1/2% per month) and the highest rate of interest permitted by law until all amounts payable to Seller are paid in full. If Buyer is in arrears with respect to any other dealings or transactions with Seller, then, notwithstanding anything to the contrary, any indebtedness hereunder shall automatically become due and payable in full without any notice from Seller to that effect. Seller shall have the right to set off against any amounts which may at any time be payable by it to Buyer any amount due from Buyer to Seller under the Agreement.

11. INSOLVENCY: In the event that Buyer becomes insolvent or unable to pay its debts as they become due or in the event of voluntary or involuntary bankruptcy proceedings by or against Buyer or the appointment of a receiver or assignee of any of Buyer’s property for the benefit of any one or more of Buyer’s creditors, Seller may elect to cancel the Agreement and any unfulfilled obligations of Seller hereunder.

12. RETURN OF PRODUCT: No return of Product to Seller will be accepted, whether under warranty or otherwise, unless previously authorized in writing by Seller.

13. PRODUCT IMPRINT: Seller reserves the right to attach its imprint to all Product unless it receives written notice from Buyer to the contrary prior to production.

14. WAIVER: No claim or right arising out of a breach of the Agreement can be discharged in whole or in part by a waiver or renunciation of the claim or right unless the waiver or renunciation is in writing signed by the aggrieved party. Waiver by either Seller or Buyer of a breach of the other of any provision of the Agreement shall not be deemed a waiver of future compliance therewith, and such provision shall remain in full force and effect.

15. MODIFICATION: The Agreement may be modified only by written instrument signed by both Buyer and Seller.

16. DISPUTES: Any dispute arising out of, or in connection with, the Agreement shall be submitted to, and finally resolved by, arbitration in the Province in which the office from which the order is invoiced is located and shall be conducted pursuant to the applicable arbitration legislation of that Province and the rules thereunder.

17. APPLICABLE LAW: The Agreement shall be deemed to be made in, and to be governed by and construed in accordance with the laws of, the Province of Ontario, Canada and the courts of that Province shall have exclusive jurisdiction in the event of any disputes hereunder. Buyer hereby attorns and submits to the jurisdiction of the Province of Ontario for the purposes of enforcement of rights and remedies arising under this agreement. The parties expressly exclude the application of the United Nations Convention on Contracts for the International Sale of Goods.

18. SEVERABILITY OF PROVISIONS: In case any one or more of these terms and conditions should be found to be invalid, illegal or unenforceable in any respect, it or they shall be severed from the Agreement and the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

19. HEADINGS: The use of headings herein is for convenience of reference only and does not affect the interpretation hereof.

20. LANGUAGE: The parties hereto acknowledge that they have expressly required that this document and all deeds, documents or notices relating thereto to be drafted in the English language. Les parties aux présentes reconnaissent qu’ils ont exigé expressément que ce document et tous autres contrats, documents ou avis qui y sont afférents soient rédigés en langue anglaise.


   

Termes et conditions


1.GÉNÉRALITÉS : Les présentes modalités et conditions seront réputées faire partie intégrante de la convention (la “convention”) résultant de l’acceptation par le vendeur de tout bon de commande de l’acheteur pour le produit (le “produit”) ou les services (les “services”) décrits à la cotation, l’accusé de reception et/ou la facture du vendeur et seront réputées de façon concluante (i) constituer la totalité de la convention passée entre le vendeur et l’acheteur à l’égard des questions traitées aux présentes et (ii) remplacer tous ou toutes les conventions, arrangements, ententes ou autres discussions, antérieurs ou simultanés, écrits ou oraux, intervenus entre l’acheteur et le vendeur, nonobstant (i) le fait que l’acheteur n’accepte pas ni ne ratifie pas par écrit ces modalités et conditions; (ii) toute façon préalable de traiter entre l’acheteur et le vendeur qui serait à l’effet contraire; et (iii) toute modalité ou condition de vente décrite dans tout bon de commande ou autre document transmis de l’acheteur au vendeur, et que ces modalités et conditions aient ou non été reçues par l’acheteur avant ou après tout document transmis au vendeur contenant les modalités et conditions d’achat de l’acheteur.

2. PRIX : À moins d’être autrement accepté par écrit par le vendeur, le prix des produits ou des services sera augmenté du montant de toute augmentation dans le coût du matériel ou de la main-d’oeuvre survenue entre la date à laquelle le prix fut donné par le vendeur à l’acheteur et la date de livraison. L’ensemble des taxes, frais, redevances, cotisations ou autres charges imposés par tout gouvernement local, provincial ou fédéral ou toute autre autorité pertinente lors de la production, de la vente, de l’utilisation, de l’importation, de l’exportation, de la propriété, de la fourniture ou de la livraison de produits ou de services seront à la charge de l’acheteur.

3. TITRE DE PROPRIÉTÉ : Le vendeur conservera la propriété des produits ou des services jusqu’à ce qu’ils soient payés en entier par l’acheteur. Si l’acheteur fait défaut de payer tout montant dû aux termes de la convention (par anticipation ou autrement) ou fait autrement défaut de remplir l’une ou l’autre de ses obligations aux termes des présentes, l’acheteur sera réputé être en défaut et le vendeur aura les droits et recours dont il dispose en vertu des lois applicables.

4. RISQUES DE PERTE, INDEMNITÉ, RÉCLAMATIONS : L’acheteur supportera tous les risques de perte ou de dommages à l’égard des produits à partir du moment où les produits sont remis en bon état à la garde d’un transporteur pour fins de transport. L’acheteur est instamment prié d’examiner soigneusement toutes les livraisons dès qu’il les reçoit et avant de signer le reçu. Si tout produit est visiblement endommagé ou si des produits sont manquants, l’acheteur doit confirmer par écrit sur la facture de transport ou autre reçu de l’agent du transporteur quels sont les dommages ou les produits manquants. Le fait de signer un reçu sans y noter aucun dommage ou produit manquant constituera une preuve concluante que les produits ont été reçus dans un état satisfaisant et selon les quantités mentionnées à la facture de transport ou autre reçu. Toute réclamation pour des dommages survenus au cours du transport ou pour tout produit manquant devrait être déposée rapidement par l’acheteur contre le transporteur. Si tout produit est perdu, ou que tout produit disparaît ou est endommagé ou détruit, en totalité ou en partie, pour quelque raison que ce soit alors qu’il est en la possession de l’acheteur ou de tout transporteur, et avant paiement en entier de ce produit, et que le vendeur encours une perte pour cette raison, l’acheteur indemnisera et tiendra quitte le vendeur pour toute telle perte. Si toute telle perte est couverte par une assurance dont l’acheteur est un bénéficiaire ou que toute telle perte est visée par un recours entrepris par l’acheteur contre toute autre partie, alors toute telle réclamation ainsi que tout montant payable à l’égard de celle-ci seront automatiquement conférés au vendeur.

5. LIVRAISON : Le vendeur peut effectuer des livraisons partielles et soumettre des factures pour celles-ci. L’acheteur devra examiner et tester tout produit livré ou réviser tous services qui lui ont été fournis dès qu’il les reçoit à son usine et le défaut de l’acheteur de donner un avis écrit au vendeur de toute réclamation dans les 10 jours suivant la réception d’un tel produit ou de la fourniture de tels services sera réputé constituer une acceptation sans réserve d’un tel produit ou de tels services. Sous réserve de l’alinéa 8, le vendeur fera des efforts commercialement raisonnables pour effectuer les livraisons aux dates prévues ou reconnues. Cependant, le vendeur ne pourra être tenu responsable pour tout défaut de livrer à de telles dates.

6. EXCÉDENTS ET INSUFFISANCES : À moins d’être autrement stipulé par écrit á la facture du vendeur, les excédents et les insuffisances allant jusqu’à 10 % du montant total des produits achetés aux termes de la présente convention seront réputés de façon concluante constituer le respect de la convention.

7.GARANTIES, RESTRICTIONS ET EXCLUSIONS DE RESPONSABILITÉ :

A. Le vendeur garantit le titre valable et négociable du produit et que le produit ou les services sont tels que décrits à la facture du vendeur et, à moins d’être prévu autrement à la facture du vendeur, que le produit et les services seront conformes aux spécifications du vendeur.

B. Si le produit ou les services ne sont pas tels que décrits à la facteur du vendeur ou que le produit et les services ne sont pas conformes aux spécifications applicables, le vendeur, à son choix, remplacera le produit ou fournira des services en remplacement des services non-conformes ou remboursera le prix d’achat des produits ou des services si l’acheteur donne un avis écrit décrivant la non-conformité, les erreurs ou les défauts allégués avec raisonnablement de détails dans les dix jours suivant la réception des produits ou des services. De plus, dans le cas des produits, le vendeur, à son choix, peut soit inspecter les produits allégués non-conformes à la place d’affaires de l’acheteur ou exiger de l’acheteur, aux frais du vendeur, d’emballer adéquatement de tels produits non-conformes et de les expédier au vendeur à l’adresse précisée à la facture du vendeur ou, au choix du vendeur, à toute autre adresse qu’il pourra préciser. Nonobstant toute façon habituelle de traiter entre les parties à l’effet contraire, toute réclamation par l’acheteur sera réputée avoir fait l’objet d’une renonciation et être absolument non-avenue à moins d’être présentée d’une telle manière au vendeur à l’intérieur d’un tel délai de dix jours. Le fait par l’acheteur de donner tout tel avis n’autorisera pas l’acheteur à retenir tout paiement dû ou à refuser d’accepter tout autre livraison.

C. LES GARANTIES EXPRESSÉMENT STIPULÉES À L’ALINÉA 7A LE SONT AU LIEU DE TOUTE AUTRE GARANTIE ET CONDITION, EXPRESSE OU IMPLICITE, DÉCOULANT DE LA LOI OU AUTREMENT EN DROIT OU D’UNE FAÇON HABITUELLE DE TRAITER OU DE L’USAGE COMMERCIAL, Y COMPRIS, MAIS SANS S’Y LIMITER, TOUTE GARANTIE OU CONDITION IMPLICITE DE QUALITÉ MARCHANDE OU D’ADAPTABILITÉ À UN USAGE PARTICULIER, ET DE TELLES GARANTIES ET CONDITIONS SONT PAR LES PRÉSENTES EXCLUES. AUCUNE AUTRE GARANTIE OU DÉCLARATION N’EST DONNÉE OU FAITE PAR LE VENDEUR. DANS LE CAS D’UN PRODUIT, SI UN ÉCHANTILLON FUT MONTRÉ OU FOURNI, CET ÉCHANTILLON NE FUT UTILISÉ QUE DANS LE BUT D’ILLUSTRER DE FAÇON GÉNÉRALE LE TYPE ET LA QUALITÉ DU PRODUIT ET NON PAS POUR FAIRE VALOIR QUE LE PRODUIT SERAIT NÉCESSAIREMENT CONFORME À CET ÉCHANTILLON.

D. LES RECOURS DE L’ACHETEUR EXPRESSÉMENT STIPULÉS À L’ALINÉA 7B SONT LES SEULS RECOURS DE L’ACHETEUR ET SES RECOURS EXCLUSIFS ET, SAUF DANS LA MESURE PRÉVUE À L’ALINÉA 7B, LE VENDEUR NE POURRA ÊTRE TENU RESPONSABLE PAR CONTRAT, DÉLIT CIVIL, DÉLIT OU AUTREMENT DE TOUTE PERTE, DOMMAGE OU DÉPENSE EN RAISON DE TOUTE BLESSURE À UNE PERSONNE OU DE TOUT DOMMAGE À UN BIEN DE L’ACHETEUR OU D’UN TIERS DÉCOULANT DE LA POSSESSION, DE L’UTILISATION OU DE L’INCAPACITÉ D’UTILISER LE PRODUIT OU LES SERVICES OU DE QUELQUE AUTRE FAÇON QUE CE SOIT RELATIVEMENT AU PRODUIT OU AUX SERVICES OU EN RAISON DE TOUTE VIOLATION (FONDAMENTALE OU AUTRE) DE LA CONVENTION OU DE TOUT DÉFAUT OU DÉLAI OU NÉGLIGENCE DANS L’EXÉCUTION PAR LE VENDEUR, SES EMPLOYÉS, AGENTS OU AUTRES, MÊME SI LE VENDEUR OU SES EMPLOYÉS OU AGENTS ÉTAIENT AU COURANT DE LA POSSIBILITÉ D’UNE TELLE PERTE, D’UN TEL DOMMAGE, D’UNE TELLE DÉPENSE OU D’UNE TELLE BLESSURE ET, EN PARTICULIER (MAIS SANS LIMITER LA GÉNÉRALITÉ DE CE QUI PRÉCÈDE), LE VENDEUR NE POURRA ÊTRE TENU RESPONSABLE DE TOUT DOMMAGE SPÉCIAL, DIRECT, INDIRECT, ACCESSOIRE OU PUNITIF NI DE TOUTE PERTE D’USAGE, PERTE DE PROFIT, PERTE D’OCCASION D’AFFAIRES, DÉFAUT DE RÉALISER LES ÉCONOMIES ESCOMPTÉES OU DE TOUTE RESPONSABILITÉ ENVERS UN TIERS ENCOURUE PAR L’ACHETEUR NI POUR TOUTE AUTRE PERTE COMMERCIALE, ÉCONOMIQUE OU DE QUELQU’AUTRE NATURE QUE CE SOIT.

E. LE VENDEUR NE POURRA ÊTRE TENU RESPONSABLE DE TOUTE CONTREFAÇON OU ALLÉGATION DE CONTREFAÇON DE TOUT BREVET OU DE TOUT AUTRE DROIT DE PROPRIÉTÉ EXCLUSIF, PAR L’UTILISATION DES SERVICES OU DU PRODUIT OU PAR L’UTILISATION DU MATÉRIEL OU DES ARTICLES FABRIQUÉS PAR L’ACHETEUR OU PAR D’AUTRES À PARTIR DES SERVICES OU DU PRODUIT, UTILISÉS SEULS OU CONJOINTEMENT AVEC D’AUTRES MATÉRIAUX, OU AUTREMENT DE QUELQUE FAÇON QUE CE SOIT.

F. L’acheteur assume tous les risques et toute la responsabilité pour les pertes, dommages ou dépenses ainsi que pour les blessures à des personnes ou des dommages à des biens de l’acheteur ou de quiconque découlant de la possession ou de l’utilisation ou de l’incapacité d’utiliser le produit ou les services ou de quelqu’autre façon que ce soit relativement au produit ou aux services (y compris, mais sans s’y limiter, pour les dommages de la nature de ceux auxquels il est fait référence à l’alinéa 7D), et l’acheteur accepte d’indemniser et de tenir quitte le vendeur à l’égard de ce qui précède.

FORCE MAJEURE : Sans limiter la portée d’aucune autre disposition des présentes, le vendeur ne pourra être tenu responsable de tout délai (i) dans l’expédition ou du défaut d’expédier des produits ou de tout dommage encouru pour cette raison ou (ii) dans la fourniture ou le défaut de fournir des services ou pour tout dommage encouru pour cette raison, qu’un tel délai ou défaut soit, directement ou indirectement, dû à un accident (lors de la fabrication ou autrement), un incendie, une inondation ou un autre cas fortuit, un arrêt ou des difficultés de travail, des installations de transport inadéquates, une pénurie de matériaux ou de fournitures, un délai ou un défaut de la part de ses fournisseurs, une action gouvernementale ou tout autre accident ou cause au-delà du contrôle raisonnable du vendeur, que le vendeur, à sa discrétion, déclare être un cas de force majeure entraînant un tel délai ou défaut. Dans un tel cas, le vendeur, à son choix, peut annuler la convention ou en retarder l’exécution pour toute durée raisonnablement nécessaire en raison de ce qui précède, durée au cours de laquelle la convention demeurera pleinement en vigueur. Le vendeur aura de plus le droit, dans un tel cas, d’allouer les ressources, le matériel et les produits disponibles parmi ses clients et pour son usage d’une telle manière que le vendeur jugera juste et équitable.

9. OPTION DE RÉSILIATION : Le vendeur aura l’option de résilier la convention immédiatement sur avis écrit si le compte de l’acheteur chez le vendeur est en souffrance ou si l’acheteur, sauf dans les cas envisagés à l’alinéa 5, n’accepte pas la livraison de tout produit qui lui est expédié ou de tout service qui lui est fourni.

10. INTÉRÊT, EXIGIBILITÉ ANTICIPÉE DE L’ENDETTEMENT ET COMPENSATION : L’intérêt sur les sommes dues aux termes de la convention (par anticipation ou autrement) commencera à courir à partir de la date d’exigibilité au moindre des deux taux suivant : 18 % par année (11/2 % par mois) et le taux d’intérêt le plus élevé permis par la loi, jusqu’à ce que tous les montants payables au vendeur soient payés en entier. Si l’acheteur a des arriérés à l’égard de tout autre négoce ou toute autre opération avec le vendeur, alors, nonobstant toute disposition à l’effet contraire, tout endettement aux termes des présentes deviendra automatiquement dû et payable en entier, sans avis de la part du vendeur à cet effet. Le vendeur aura le droit d’opérer compensation pour toutes sommes payables par l’acheteur au vendeur aux termes de la présente convention.

11. INSOLVABILITÉ : Si l’acheteur devient insolvable ou incapable de payer ses dettes au fur et à mesure de leur échéance ou si des procédures de faillite, volontaire ou involontaire, sont entreprises par l’acheteur ou contre lui ou si un séquestre ou un cessionnaire était nommé pour tout bien de l’acheteur au bénéfice de l’un ou de plusieurs de ses créanciers, le vendeur pourra choisir d’annuler la convention ainsi que toutes ses obligations non remplies aux termes des présentes.

12. RETOUR DES PRODUITS : Aucun retour de produit au vendeur ne sera accepté, aux termes de la garantie ou autrement, à moins d’autorisation préalable écrite du vendeur.

13. MARQUE DU PRODUIT : Le vendeur se réserve le droit d’apposer sa marque sur tous les produits à moins qu’il ne reçoive un avis écrit de l’acheteur à l’effet contraire avant la production.

14. RENONCIATION : Aucun droit ni aucune réclamation découlant d’une violation de la convention ne peut faire l’objet d’une libération, en tout ou en partie, au moyen d’une renonciation à la réclamation ou au droit à moins que la renonciation ne soit faite par écrit et signée par la partie lésée. Une renonciation par le vendeur ou par l’acheteur à la violation par l’autre partie de toute disposition de la convention ne sera pas réputée constituer une renonciation à tout défaut futur aux termes d’une telle disposition, et une telle disposition demeurera pleinement en vigueur.

15. MODIFICATION : La convention peut être modifiée uniquement au moyen d’un instrument écrit, signé à la fois de l’acheteur et du vendeur.

16. LITIGE : Tout litige découlant de la convention, ou relatif à celle-ci, devra être soumis à l’arbitrage, et finalement résolu par un tel arbitrage, dans la province où est situé le bureau d’où la commande est facturée; la procédure suivie devra être celle applicable aux termes des lois et règlements sur l’arbitrage de la province en question.

17. LOIS APPLICABLES : La convention sera réputée avoir été passée dans la province de l’Ontario, Canada et elle sera régie et interprétée conformément aux lois de cette province et les tribunaux de cette province auront la juridiction exclusive pour trancher tout litige aux termes des présentes. L’acheteur se soumet à la juridiction de la province de l’Ontario, et la reconnaît, aux fins de la mise en oeuvre des droits et recours découlant de la présente convention. Les parties renoncent expressément à l’application de la Convention des Nations Unies sur les contrats de vente internationale de marchandises.

18. DIVISIBILITÉ DES DISPOSITIONS : Si toute modalité ou condition devait être jugée invalide, illégale ou inapplicable à tous égards, cette modalité ou condition sera séparée de la convention et la validité, la légalité et l’applicabilité des dispositions restantes ne sera en aucune manière affectée ou diminuée.

19. TITRE : Les titres des présentes ne sont utilisés que pour faciliter la consultation et ne doivent pas en affecter l’interprétation.
